1. INTRODUCTION & ACCEPTANCE OF TERMS

1.1 Agreement. These Terms of Service (the "Agreement" or "Terms") are entered into between Virtual Closet Designer ("Virtual Closet Designer," "we," "us," or "our") and the business entity or individual accessing or using our services ("Client," "you," or "your"). This Agreement governs your access to and use of all services, deliverables, training programs, and related offerings provided by Virtual Closet Designer.
1.2 Effective Date. This Agreement is effective as of (Last Updated 6/15/2026), and applies to all services engaged or used on or after that date.
1.3 Acceptance. By accessing, purchasing, scheduling, or otherwise using any service offered by Virtual Closet Designer — including but not limited to virtual closet design services, virtual design meetings, and designer training programs — you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use or access any of our services.
1.4 Legally Binding Agreement. These Terms constitute a legally binding contract between you and Virtual Closet Designer. If you are entering into this Agreement on behalf of a business entity, you represent and warrant that you have the legal authority to bind that entity. In such cases, the terms "you" and "your" shall refer to that entity.

1.5 Supplemental Agreements. These Terms are supplemented by any written service agreements, statements of work, proposals, or invoices entered into between you and Virtual Closet Designer (collectively, "Service Agreements"). In the event of a conflict between these Terms and a written Service Agreement signed by both parties, the written Service Agreement shall control with respect to the specific subject matter addressed therein.


2. ABOUT VIRTUAL CLOSET DESIGNER / SERVICE DESCRIPTION

2.1 Company Overview. Virtual Closet Designer is a business-to-business (B2B) service provider that offers professional virtual closet design services, virtual client-facing meeting representation, and designer training programs. Our primary clients are independently owned closet companies and the designers they employ. We do not provide direct consumer services except as expressly agreed in a written Service Agreement.
2.2 Service Offering 1 – Virtual Closet Design Services. Virtual Closet Designer provides remote, online closet design consultations and design deliverables directly to Client companies and, where applicable, to those companies' end customers. Design services may include, without limitation: space assessments, concept development, design drafts, material and product recommendations, and final design presentations. All deliverables are provided digitally. The scope of any specific design engagement shall be set forth in the applicable Service Agreement or invoice.
2.3 Service Offering 2 – Virtual Design Meetings. Virtual Closet Designer conducts live video or virtual meetings on behalf of independently owned closet companies, meeting directly with those companies' end customers. In this capacity, Virtual Closet Designer acts as a representative service provider engaged by the Client company. The Client company remains

responsible for the overall customer relationship, and Virtual Closet Designer's role is limited to conducting the design meeting as agreed. Virtual Closet Designer does not assume any direct contractual relationship with the end customer in these arrangements unless otherwise expressly agreed in writing.
2.4 Service Offering 3 – Designer Training. Virtual Closet Designer offers training programs, educational courses, and coaching services designed for designers who are employed by or affiliated with independently owned closet companies. Training may be delivered in various formats including live virtual sessions, recorded video content, written materials, and one-on-one coaching. The specific format, duration, and content of any training program shall be described in the applicable Service Agreement or course enrollment documentation.
2.5 B2B Nature of Services. All services offered by Virtual Closet Designer are intended for business use. Our Clients are independently owned closet companies contracting with us to serve their own end customers or to train their personnel. Virtual Closet Designer does not hold itself out as a direct-to-consumer service provider, and these Terms are written accordingly.
2.6 Service Availability. Virtual Closet Designer reserves the right to modify, suspend, or discontinue any service offering at any time, with or without notice, provided that such modification does not affect services already paid for under a current Service Agreement without reasonable notice and accommodation.
3. ELIGIBILITY

​3.1 Legal Capacity. To use our services, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract under applicable law. By using our services, you represent and warrant that you meet this requirement.
3.2 Business Authority. If you are accessing or purchasing services on behalf of a business entity (such as a corporation, limited liability company, partnership, or sole proprietorship), you represent and warrant that: (a) the entity is duly organized and validly existing under the laws of its jurisdiction of formation; and (b) you have full legal authority to bind that entity to these Terms.

3.3 Business Use Only. Services provided by Virtual Closet Designer are intended solely for business-to-business commercial purposes. Our services are not directed toward individual consumers purchasing for personal, household, or family use. By using our services, you represent and warrant that you are engaging us for lawful business purposes.
3.4 Geographic Eligibility. Virtual Closet Designer's services are currently offered to businesses operating within the United States of America. Clients outside of the United States may be considered on a case-by-case basis and only where Virtual Closet Designer expressly agrees in writing. Additional terms or conditions may apply to international engagements. [ADDITIONAL JURISDICTIONS TO BE ADDED AS APPLICABLE]
3.5 Compliance with Laws. You represent and warrant that your use of our services does not violate any applicable law, regulation, or third-party agreement to which you are bound.
4. CLIENT RESPONSIBILITIES

4.1 Accurate Information. You agree to provide Virtual Closet Designer with accurate, complete, and current information regarding your business, project scope, client details, space specifications, and any other information reasonably required to perform the services. You acknowledge that the quality and accuracy of design deliverables and services may depend substantially on the accuracy of the information you provide. Virtual Closet Designer shall not be liable for errors, omissions, or deficiencies in services that result from inaccurate or incomplete information provided by you.
4.2 Timely Communication and Feedback. You agree to respond to requests for information, approvals, or feedback within a commercially reasonable time. Delays caused by your failure to respond in a timely manner may result in corresponding delays in service delivery, for which Virtual Closet Designer shall not be responsible. Required feedback timelines may be further specified in your Service Agreement.
4.3 End Customer Consent for Virtual Meetings. Where Virtual Closet Designer conducts virtual design meetings on your behalf with your end customers (as described in Section 2.3), you are solely responsible for ensuring that your end customers have: (a) been informed that the meeting will be conducted by a third-party representative on your behalf; (b) consented to participate in such a meeting; and (c) where applicable, consented to any recording of the meeting as required by applicable law. Virtual Closet Designer shall not be responsible for any claim by an end customer arising from lack of notice or consent that was your obligation to obtain.
4.4 Use of Deliverables. Design deliverables and other work product provided to you by Virtual Closet Designer are licensed for use within the scope expressly agreed upon (see Section 6). You agree not to misuse, copy, modify for resale, sublicense, or distribute any deliverables beyond the agreed scope without Virtual Closet Designer's prior written consent. You further agree not to resell, white-label, or commercially exploit our design work as if it were your own original product offering without express written authorization.

​4.5 Compliance with Applicable Laws. You are solely responsible for ensuring that your own business operations, including your treatment of your own employees, designers, and end customers, comply with all federal, state, and local laws, regulations, and ordinances. Virtual Closet Designer's provision of services to you does not constitute legal advice and does not relieve you of your independent legal obligations.
4.6 Account and Credential Security. If you are provided with login credentials, account access, or any portal access in connection with our services, you are responsible for maintaining the confidentiality and security of those credentials. You agree to notify Virtual Closet Designer promptly of any unauthorized use of your account or any suspected security breach. Virtual Closet Designer shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
4.7 Prohibited Conduct. You agree not to: (a) use our services for any unlawful purpose; (b) interfere with or disrupt our operations or the operations of other clients; (c) attempt to gain unauthorized access to any systems or data; (d) use our services in any way that infringes the intellectual property rights of Virtual Closet Designer or any third party; or (e) engage in any conduct that is harmful, threatening, defamatory, or otherwise objectionable.
5. COMPANY RESPONSIBILITIES

5.1 Service Delivery. Virtual Closet Designer agrees to deliver services in a professional and workmanlike manner, consistent with industry standards and the scope described in the applicable Service Agreement. We will use commercially reasonable efforts to meet any timelines or delivery schedules agreed upon in writing.

5.2 Professional Standards. Virtual Closet Designer will maintain a high standard of professionalism in all client-facing interactions, including virtual meetings conducted on behalf of Client companies. Our representatives will conduct meetings with courtesy, expertise, and respect for your end customers.
5.3 Confidentiality. Virtual Closet Designer will treat all non-public information you share with us — including business information, client data, and project details — as confidential. We will not disclose such information to third parties except: (a) as necessary to perform the services; (b) with your prior written consent; (c) as required by law or court order; or (d) to the extent such information is or becomes publicly available through no fault of ours. This confidentiality obligation survives the termination of this Agreement.
5.4 Training Materials. With respect to designer training programs, Virtual Closet Designer will use commercially reasonable efforts to ensure that all training materials, course content, and coaching guidance are accurate, current, and reflective of prevailing professional practices in the closet design industry. We will update materials as reasonably necessary to maintain their quality and relevance.
5.5 Communication. Virtual Closet Designer will maintain reasonable responsiveness to your inquiries and communications during normal business hours. Specific response time commitments, if any, will be set forth in the applicable Service Agreement.
5.6 Data Handling. Virtual Closet Designer will handle any personal data of your end customers that you share with us solely for the purpose of performing the agreed services, and not for any other purpose. We will implement commercially reasonable security measures to protect such data from unauthorized access, use, or disclosure.

6. INTELLECTUAL PROPERTY

6.1 Ownership by Virtual Closet Designer. All intellectual property developed, owned, or licensed by Virtual Closet Designer — including but not limited to training materials, course content, instructional guides, design methodologies, proprietary processes, templates, frameworks, tools, and other proprietary materials created by or for Virtual Closet Designer ("VCD Materials") — are and shall remain the sole and exclusive property of Virtual Closet Designer. No transfer of ownership of any VCD Materials occurs as a result of your engagement of our services.
6.2 License to Design Deliverables. Upon receipt of full payment for design services, Virtual Closet Designer grants you a limited, non-exclusive, non-transferable license to use the specific design deliverables created for your project solely for the purposes agreed upon in the applicable Service Agreement. This license does not include the right to modify, sublicense, resell, or transfer the deliverables to third parties beyond the agreed use, unless expressly authorized in writing by Virtual Closet Designer.
6.3 Restrictions on Training Content. You acknowledge that all training materials, courses, modules, recordings, guides, and coaching content provided through Virtual Closet Designer's training programs are proprietary and confidential. You agree not to: (a) reproduce, copy, or distribute training content to individuals not enrolled in the applicable program; (b) record, repackage, or resell training content in any form; (c) share login credentials for any online training portal; or (d) use training content to develop competing programs or materials without Virtual Closet Designer's prior written consent.
6.4 Client-Owned Brand Assets. You retain full ownership of all brand assets, trademarks, logos, images, and other materials that you submit to Virtual Closet Designer for use in connection with our services ("Client Materials"). By submitting Client Materials, you grant Virtual Closet Designer a limited, non-exclusive license to use those materials solely for the purpose of performing the agreed services. Virtual Closet Designer will not use your brand assets for any other purpose, including in its own marketing materials, without your prior written consent.
6.5 Feedback and Suggestions. If you provide Virtual Closet Designer with feedback, suggestions, or ideas regarding our services ("Feedback"), you grant Virtual Closet Designer a non-exclusive, royalty-free, perpetual license to use and incorporate such Feedback into our services and operations without any obligation of compensation or attribution to you.
6.6 Portfolio Use. Unless otherwise agreed in writing, Virtual Closet Designer reserves the right to use design deliverables created for you in its portfolio, marketing materials, and promotional content. If you prefer that your project not be used for this purpose, please notify us in writing prior to or at the time of project commencement.
7. PAYMENT TERMS

7.1 Fees. Fees for Virtual Closet Designer's services are set forth in the applicable Service Agreement, proposal, or invoice provided to you. All quoted fees are subject to change with reasonable advance notice, provided that fees for services already contracted shall not change during the current engagement period without your written consent.
7.2 Payment Due Dates. Unless otherwise specified in the applicable Service Agreement or invoice, payment is due within [3] days of the date of the invoice. Virtual Closet Designer reserves the right to require a 

deposit or advance payment prior to commencement of services, as specified in the applicable Service Agreement.
7.3 Accepted Payment Methods. Virtual Closet Designer accepts payment via the following methods: [ACCEPTED PAYMENT METHODS, credit card, check, PayPal, etc.] . Payment method availability may vary and will be confirmed in the invoice or Service Agreement.
7.4 Late Payments. If any amount due is not received by Virtual Closet Designer by the applicable due date, Virtual Closet Designer reserves the right to: (a) assess a late payment fee of 10% on the outstanding balance; and/or (b) suspend performance of services until the outstanding balance, including any late fees, is paid in full. Virtual Closet Designer will provide reasonable written notice before suspending services.
7.5 Currency. All fees, invoices, and payments are denominated in United States Dollars (USD). Virtual Closet Designer does not currently accept payment in foreign currencies unless expressly agreed in a written Service Agreement.
7.6 Taxes. All fees quoted by Virtual Closet Designer are exclusive of any applicable taxes, including but not limited to sales tax, use tax, value-added tax (VAT), or similar levies imposed by any governmental authority. You are solely responsible for determining and remitting any taxes applicable to your purchase of our services in your jurisdiction. If Virtual Closet Designer is required by law to collect and remit taxes on your behalf, such taxes will be added to the applicable invoice.
7.7 Disputed Invoices. If you believe an invoice contains an error, you must notify Virtual Closet Designer in writing within 3 days of the invoice date, describing the nature of the dispute. Undisputed portions of any invoice remain due and payable by the applicable due date. The parties agree to work in good faith to resolve any billing disputes promptly.
8. CANCELLATION & REFUND POLICY

8.1 Cancellation of Virtual Design Meetings. If you need to cancel or reschedule a virtual design meeting conducted by Virtual Closet Designer on your behalf, you must provide written notice to Virtual Closet Designer at least forty-eight (48) hours prior to the scheduled meeting time. Cancellations made with less than forty-eight (48) hours' notice may be subject to a cancellation fee as specified in the applicable Service Agreement. Repeated late cancellations may result in additional restrictions on scheduling.
8.2 Cancellation of Design Services. For ongoing or project-based design services, either party may cancel the engagement by providing written notice as specified in the applicable Service Agreement. If no notice period is specified, a minimum of [3] days' written notice is required. You will be responsible for payment for all services rendered through the effective date of cancellation.
8.3 Cancellation of Training Programs. If you wish to cancel enrollment in a training program or ongoing coaching arrangement, you must provide written notice to Virtual Closet Designer at least [7] days prior to the next scheduled session or billing cycle. Cancellation does not entitle you to a refund for any sessions or modules already delivered or accessed. Access to any online training portal or recorded content may be revoked upon cancellation.
8.4 Refund Eligibility. Refunds may be issued under the following conditions:

1.    Services Not Yet Rendered: If you cancel before any services have been performed and no non-refundable deposit applies, you may be eligible for a full refund of amounts paid, less any administrative fees specified in the Service Agreement.
2.    Partially Rendered Services: If services have been partially performed at the time of cancellation, you will be responsible for payment for the portion of services rendered, and any refund due will be calculated on a pro-rata basis based on the work completed.
3.    Completed Services: No refunds will be issued for services that have been fully delivered and accepted.

8.5 Non-Refundable Deposits and Setup Fees. Any deposit, setup fee, or onboarding fee paid to Virtual Closet Designer is non-refundable unless Virtual Closet Designer fails to commence the agreed services. Non-refundable deposits will be clearly identified as such in the applicable invoice or Service Agreement.
8.6 Refund Process. Approved refunds will be issued within [7] business days of Virtual Closet Designer's written confirmation of refund eligibility, using the same payment method used for the original transaction where possible. Virtual Closet Designer reserves the right to apply any refund amount to outstanding balances owed before remitting a credit.
9. DISCLAIMERS

9.1 "As Is" and "As Available." VIRTUAL CLOSET DESIGNER PROVIDES ALL SERVICES, DELIVERABLES, TRAINING CONTENT, AND RELATED MATERIALS ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. VIRTUAL CLOSET DESIGNER EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Guarantee of Design Outcomes or Business Results. Virtual Closet Designer makes no representations or warranties, express or implied, that any design deliverable, virtual meeting, or training program will achieve any specific aesthetic result, sales outcome, customer satisfaction level, or business goal. The success of any closet design project or training initiative depends on many factors beyond Virtual Closet Designer's control, including the Client's own execution, market conditions, and end customer preferences.
9.3 End Customer Satisfaction. Virtual Closet Designer is not responsible for the satisfaction of your end customers beyond the delivery of the specific agreed design services or meeting facilitation. Customer relationship management, follow-up, product pricing, installation quality, and post-service support remain the sole responsibility of the Client company.
9.4 Training Does Not Guarantee Licensure or Certification. Completion of any training program, course, or coaching offered by Virtual Closet Designer does not confer any professional license, state-recognized certification, trade association credential, or regulatory approval. Any such designations must be obtained independently through the appropriate licensing or credentialing bodies. Virtual Closet Designer makes no representation that its training satisfies the requirements of any licensing board, certification program, or professional association.
9.5 Third-Party Tools and Platforms. Virtual Closet Designer may use third-party software, video conferencing platforms, or design tools in connection with its services. Virtual Closet Designer does not warrant the

10.1 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIRTUAL CLOSET DESIGNER'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY — SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO VIRTUAL CLOSET DESIGNER IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.2 Exclusion of Certain Damages. IN NO EVENT SHALL VIRTUAL CLOSET DESIGNER, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY: (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (b) LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES; (c) LOSS OF GOODWILL OR REPUTATION; (d) LOSS OR CORRUPTION OF DATA; OR (e) COST OF SUBSTITUTE SERVICES; EVEN IF VIRTUAL CLOSET DESIGNER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY ASSERTED.
10.3 Exceptions. Nothing in this Section 10 shall limit or exclude Virtual Closet Designer's liability for: (a) death or personal injury caused by our gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation;

or (c) any other liability that cannot be excluded or limited under applicable law.
10.4 Essential Basis. You acknowledge that the limitations of liability set forth in this Section 10 are a fundamental element of the basis of the bargain between you and Virtual Closet Designer, and that Virtual Closet Designer would not have entered into this Agreement without such limitations.

11. ACCESSIBILITY

11.1 Commitment to Accessibility. Virtual Closet Designer is committed to making its services and communications accessible to individuals with disabilities. We strive to ensure that our virtual meetings, training materials, and written communications are as accessible as reasonably practicable.
11.2 Requesting Accommodations. If you or a member of your team requires a specific accommodation to access or participate in any of our services — including but not limited to captioning for virtual meetings, alternative formats for written materials, or other disability-related adjustments — please contact us using the information in Section 15 at least [5] business days before the relevant service is scheduled. We will work with you in good faith to provide reasonable accommodations.
11.3 Accessibility Concerns. If you have questions, concerns, or feedback regarding the accessibility of our services, please contact us at: michele@virtualclosetdesigner.com. We welcome your feedback and are committed to continuous improvement in this area.
12. GOVERNING LAW & DISPUTE RESOLUTION

12.1 Governing Law. These Terms and any disputes arising out of or relating to them or the services provided by Virtual Closet Designer shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles.
12.2 Informal Dispute Resolution. Before initiating any formal legal proceeding, you agree to first contact Virtual Closet Designer in writing at the email provided in Section 15 and describe the nature of your dispute with reasonable specificity. Virtual Closet Designer will similarly attempt to resolve any dispute informally before pursuing formal remedies. The parties agree to negotiate in good faith for a period of at least thirty (30) days following written notice of a dispute before commencing arbitration or litigation.
12.3 Binding Arbitration. If the parties are unable to resolve a dispute through the informal process described in Section 13.2, any dispute, claim, or controversy arising out of or relating to these Terms, any Service Agreement, or the services of Virtual Closet Designer shall be resolved exclusively by binding individual arbitration administered by a mutually agreed upon neutral arbitration body, in accordance with its applicable commercial arbitration rules. The arbitration shall be conducted in the State of Florida, or, at your option, via videoconference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
12.4 Arbitration Opt-Out. You may opt out of the arbitration provision in Section 13.3 by sending written notice to Virtual Closet Designer at the address or email provided in Section 15 within thirty (30) days of first accepting these Terms. Your opt-out notice must include your name, business name, and a clear statement that you are opting out of binding arbitration. If you opt out, disputes shall be resolved in the courts identified in Section 13.6.
12.5 Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO HEAR OR ADJUDICATE ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE CLAIM. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ENTIRETY OF SECTION 13.3 SHALL BE NULL AND VOID.
12.6 Venue for Litigation. For any disputes not subject to arbitration (including those arising from a valid opt-out under Section 13.4, or where arbitration is found unenforceable), the parties consent to the exclusive jurisdiction and venue of the state or federal courts located in the State of Florida, and waive any objection to such venue based on inconvenience or otherwise.
12.7 Injunctive Relief. Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction in Florida to prevent imminent harm, including but not limited to to protect confidential information or intellectual property rights, without waiving the right to arbitrate the underlying dispute.
13. MODIFICATIONS TO TERMS

13.1 Right to Update. Virtual Closet Designer reserves the right to modify, update, or revise these Terms at any time in its sole discretion. Changes may be made to reflect updates in our services, applicable law, or business practices.
13.2 Notice of Changes. 15. GENERAL PROVISIONS

15.1 Entire Agreement. These Terms, together with any applicable Service Agreements, invoices, or other written agreements executed by both parties, constitute the entire agreement between you and Virtual Closet Designer with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, representations, and agreements, whether oral or written.
15.2 Severability. If any provision of these Terms is found to be invalid, unenforceable, or contrary to applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.
15.3 Waiver. Virtual Closet Designer's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Virtual Closet Designer to be effective.
15.4 Assignment. You may not assign or transfer any of your rights or obligations under these Terms without Virtual Closet Designer's prior written consent. Virtual Closet Designer may assign these Terms or any rights hereunder without restriction. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

​15.5 Force Majeure. Neither party shall be in breach of these Terms or liable for any failure or delay in performance resulting from causes beyond that party's reasonable control, including but not limited to acts of God, natural disasters, pandemic, governmental action, internet outages, or third-party platform failures, provided that the affected party provides prompt written notice to the other party and uses reasonable efforts to resume performance as soon as practicable.
15.6 Relationship of the Parties. Nothing in these Terms creates or implies a partnership, joint venture, agency, franchise, or employment relationship between you and Virtual Closet Designer. Virtual Closet Designer operates as an independent contractor, and neither party has the authority to bind the other in any transaction.
15.7 Headings. Section headings used in these Terms are for organizational convenience only and shall not affect the interpretation or legal effect of any provision.

By engaging the services of Virtual Closet Designer, you acknowledge that you have read, understood, and agree to these Terms of Service.
